É desta forma que o "barão do aço", como é conhecido no Brasil, respondeu ao conselho de administração da Cimpor, que aconselha os accionistas da empresa a não venderem as suas acções nesta oferta. Steinbruch deslocou-se a Portugal para acertar pormenores da operação e aproveitou para explicar aos jornalistas, dos dois lados do Atlântico, porque é que a Cimpor lhe despertou interesse, porque é que lançou a OPA ao preço de 5,75 euros por acção e porque é que considera ter a melhor proposta para o futuro da cimenteira portuguesa. A Kimberley investigation found "unacceptable and horrific violence against civilians by authorities", including forced labour, torture and beatings by soldiers against villagers. Despite calls for Zimbabwe's suspension over abuses in Marange, the global body gave Harare a June 2010 deadline to make reforms to comply with its regulations. Zimbabwe went into partnership with two South African-owned firms, including Mbada, to extract diamonds in October, said the report. Os peritos do Itaú admitem uma subida da contrapartida, mas não para um valor que implique pagar um prémio elevado pela Cimpor. O Itaú Securities considera que a CSN poderá subir a sua oferta pela Cimpor, dos actuais 5,75 euros, mas vê como limitada a possibilidade de a empresa brasileira vir a pagar um múltiplo muito elevado pela cimenteira nacional. Em nota de ‘research' o Itaú assume como tecto máximo um múltiplo de 10x EV/EBITDA - assumindo os lucros estimados para 2010 - o que avaliaria as acções da Cimpor em 7,37 euros, mais 28% do que a oferta actual. A estes valores, a CSN pagaria um prémio de 2,5 mil milhões de reais (cerca de mil milhões de euros), ou seja, 6% da sua capitalização bolsista. Este cenário é, contudo, considerado "improvável" pelos analistas do Itaú. "Em comparação, a CSN tem tido uma performance aquém dos seus pares - cerca de 9% abaixo - desde que a oferta foi lançada, o que equivale a perdas de capitalização bolsista na ordem dos 3,9 mil milhões de reais", adiantam ainda os analistas do Itáu numa nota de análise. "No nos callaremos ante algunos Estados que no respeten las normas fijadas por el G20", en particular las normas contables, ha señalado el presidente francés, que no ha dado nombres, pero que ha advertido de que luchará "para que los compromisos se cumplan". El presidente francés sostiene que "la crisis es estructural, no coyuntural", y resulta ser consecuencia "de una economía no suficientemente regulada". O conselho de administração da Cimpor vai hoje propor aos accionistas a rejeição da OPA da CSN. Posição defendida pela Texeira Duarte, BCP, Cinvest e outros accionistas que controlam mais de 40% do capital. Restam cada vez menos dúvidas de que a Oferta Pública de Aquisição (OPA) que a Companhia Siderúrgica Nacional (CSN) lançou à Cimpor, a 5,75 euros por acção, está condenada ao fracasso. É hoje que a administração da cimenteira emite a opinião sobre a OPA ("relatório da visada") e a posição dominante é desfavorável à operação. O Diário Económico apurou que a comissão executiva da Cimpor aconselhou ao Conselho de Administração da empresa a rejeição da OPA, com base em dois argumentos técnicos: o facto de o prémio ser baixo, não reflectir o valor real da cimenteira e não remunerar convenientesmente os accionistas; e a certeza de haver agravamento do ‘rating' da Cimpor caso a OPA tenha êxito. O relatório, que está a ser elaborado com a assessoria jurídica de Jorge Brito Pereira, advogado da PLMJ, está pronto, mas haverá ainda alguns pontos sensíveis a discutir em conselho de administração, que se reúne hoje. The Bank for International Settlements will gather top central bankers and financiers for a meeting in Basel this weekend amid rising concern about a resurgence of the “excessive risk-taking” that sparked the financial crisis. In its invitation, the BIS cited concerns that “financial firms are returning to the aggressive behaviour that prevailed during the pre-crisis period”. The BIS, known as the central banks’ bank, outlined in a restricted note to participants some specific proposals that it believes could create a healthier financial system. Those proposals including lowering return-on-equity targets for the banks as a way to discourage such risk taking. Private sector bank chiefs attending the meeting at the BIS in Basel include Larry Fink of BlackRock, Vikram Pandit of Citigroup, and John Stumpf of Wells Fargo. Lloyd Blankfein, Goldman Sachs chief executive, and Jamie Dimon, chief executive of JPMorgan Chase, were invited but are not planning to attend. The meeting comes at a moment of intense uncertainty, with the global economy’s tentative recovery shadowed by “the overhang of private-sector debt and rapidly rising public debt”, and high unemployment. “The concern here is that the prolonged assurance of very cheap and ample funding may encourage excessive risk-taking,” the BIS invitation note says. “For example, low financing costs coupled with a steep yield curve may make participants vulnerable to future increases in policy rates – a situation reminiscent of the 1994 bond market turbulence which followed the Federal Reserve’s exit from a prolonged period of low policy rates.” The note also expresses concern about deteriorating public finances and warned that doubt about fiscal prudence “could seriously disrupt bond markets if it triggered concerns about creditworthiness or inflation because of concerns with government incentives to inflate debt away.” Among the charts included with the note is one indicating the cost of credit insurance against sovereign defaults. New diamond export tax in Sierra Leone. Sierra Leone has imposed a new 15% tax on exports of high value diamonds, a government official said yesterday, Reuters reported. The West African country, which is attempting to reverse years of economically debilitating mismanagement and corruption after a 1991-2002 civil war, charged as of December 28 an export tax of 15% of the value of stones worth more than $500,000, the report said. "The new tax of 15% is a windfall," said Abdul Ignosse Koroma, deputy minister of mineral resources. "Diamonds exported under the former 6.5%(tax) were not in the interest of the country." Diamonds, many of which are dug in dangerous conditions by amateur miners, are the poor country's main source of foreign currency, the repor said. A mining act passed last November raised taxes on diamonds to 6.5% from a previous 5%, and on gold and other precious metals to 5% from 4%. The former British colony aims to attract investors as it tries to rebuild its economy. As well as diamonds and titanium ore rutile, Sierra Leone has the potential to be a source of gold and iron ore. Traders said the 15% levy on high value stones may prove counterproductive, the Reuters report said. "This new tax may lead to an increase in diamond smuggling, which has been brought under control since the Kimberley Process was established," said one diamond dealer in Freetown, speaking on condition of anonymity. The process is a certification scheme set up in 2003 in the aftermath of civil wars in Sierra Leone, Liberia and Angola, which were largely financed by the diamond trade. The most recent official Sierra Leonean export figures valued shipments of diamonds at $36 million in the first six months of 2009, down from around $50 million in the same period of 2008.

O negócio é visto com bons olhos pelos governos português e brasileiro e as conversações foram retomadas no final de 2009, depois de interrompidas abruptamente no início de 2006, segundo o Brasil Económico. Embora contrariem a orientação da estatal brasileira de esvaziar os investimentos no exterior, para concentrá-los no pré-sal, os entendimentos também encontram apoio político nos corredores do Planalto. Sete mortos em queda de ponte. por S.S.Hoje. Uma ponte na estrada RS-287 que liga Restinga Seca a Agudo, no Rio Grande do Sul, desabou hoje de manhã e há pelo menos sete mortos confirmados. As autoridades continuam as buscas para encontrar os desaparecidos. Segundo as informações avançadas pelos media brasileiros, cerca de 20 pessoas estariam na ponte, sobre o rio Jacuí, quando esta desabou. Oito pessoas foram resgatadas, havendo ainda outras 12 desaparecidas. Entre os desaparecidos estará o vice-prefeito da cidade de Agudo e coordenador da Protecção Civil local, Hilberto Boeck. A ponte tem 300 metros e de acordo com as autoridades pelo menos cem metros terão caído. O rio apresenta um caudal superior ao normal, devido ao mau tempo que tem atingido a região.

Peru Confirms 25-Year Sentence for Alberto Fujimori, AFP Says. Jan. 3 (Bloomberg) -- Peru’s Supreme Court confirmed a 25-year prison sentence for former President Alberto Fujimori, Agence France-Presse reported, without saying where it got the information. Fujimori’s defense lawyer, Cesar Nakazaki, had asked in November that the sentence for human rights abuses be revoked. Nakazaki also asked for an annulment of Fujimori’s conviction in the kidnappings of a journalist and a businessman in 1992, because he claimed there was not enough evidence to prove that the former leader ordered the abductions, AFP said. Fujimori was sentenced in April on charges of aggravated homicide, aggravated kidnapping, severe injuries and forced disappearance of persons. The son of Japanese immigrants, he fled to Japan in 2000 as his presidency collapsed amid charges of corruption. Japan recognized him as a citizen and denied Peru’s extradition requests. Novartis seeks to complete Alcon buy-out. Zurich. Published: January 4 2010 09:12 | Last updated: January 4 2010 15:07. Novartis surprised investors on Monday by saying it would buy out minority shareholders in Alcon, the US eyecare company, for the equivalent of $11.2bn in equity.
The move came alongside a widely expected decision by the Swiss pharmaceuticals group to purchase the remaining 52 per cent of Alcon still held by Nestlé, in the second stage of a two-phase $38.5bn transaction agreed almost two years ago. Assuming Alcon’s 23 per cent minority shareholders accept, the deal would see Novartis investing almost $50bn in cash and shares to become a leader in the high-margin, high-growth eyecare sector by combining its Ciba Vision subsidiary with Alcon’s much bigger operations. Alcon makes Opti-Free contact lens cleaner and also produces treatments for eye infections and glaucoma.
Separately, Nestlé said it would use the proceeds of the sale to launch a SFr10bn ($9.6bn) share buy-back programme. The new scheme would start after completion of a SFr25bn programme designed to return the first part of the Alcon proceeds to shareholders. Nestlé declined to comment on whether the sale might make it more inclined to bid for Cadbury, the UK confectionery group fighting a hostile takeover from Kraft of the US. “This divestment of our interest in Alcon will enable our management to concentrate on accelerating the development of Nestlé’s position as the world’s leading nutrition, health and wellness company,” said Paul Bulcke, Nestlé’s chief executive, in a statement. Daniel Vasella, Novartis’s chairman and chief executive, justified acquiring the Alcon minorities to provide clarity and simplicity “This is the right time to simplify Alcon’s ownership to eliminate uncertainties for employees and shareholders. It will also allow us to strengthen innovation power by combining R&D efforts and grow our global market presence thanks to our complementary product portfolios,” Dr Vasella said. Analysts had expected Novartis to leave Alcon’s minority shareholders and be content with the 77 per cent control acquired via Nestlé, pending a buy-out offer to the minorities at a later stage. Some analysts had speculated Novartis would sell Alcon its Ciba Vision business to release cash, while retaining a majority holding of the combined eye group. Instead, Alcon shareholders are being offered 2.8 Novartis shares for each Alcon share at an implied price of $153, based on Novartis’s last closing price and an exchange rate of SFr1.04 to the dollar. “I think it’s a very fair and highly attractive offer,” Dr Vasella told the Financial Times in an interview. “There’s no reason to pay a control premium for a minority stake.” Analysts had acknowledged that retaining the minorities would have impeded full integration of the two businesses and added costs – an obstacle recognised by Novartis. “Attaining 100 per cent ownership will also avoid speculation about the minority stake and enable the companies to move faster to achieve the full potential of the combined businesses,” Novartis said. The group said the a full merger would allow cost savings of about $100m a year before tax within three years after closing, largely through avoiding duplications. Issuing new shares would dilute Novartis’s earnings per share by 9 per cent in the first year after closing. Novartis said it had decided to offer the Alcon minorities shares, rather than cash, to preserve resources. The group has already paid Nestlé more than $10bn for its initial 24.8 per cent of Alcon, followed by $28.1bn for the remaining 52 per cent. The price will be financed by existing cash and up to $16bn in new debt. To buy out the Alcon minorities, Novartis shareholders will be asked to approve the issue of about 98m new shares, along with the release of 107m shares held as treasury stock. In afternoon Zurich trading, Novartis shares were down 2.6 per cent at SFr55.00 while Nestlé shares were up 1.5 per cent at SFr50.95. In early New York trading, Alcon stock was 3 per cent lower at $159.21.

Caixa perde na guerra de poder da Cimpor. 04/12/09 00:10. Bayão Horta é o novo homem forte da maior cimenteira nacional, à revelia dos votos da CGD e da Teixeira Duarte. A Cimpor continua a viver tempos conturbados. Num volte-face que se adivinhava há vários dias, Ricardo Bayão Horta assumiu ontem um movimento inédito, ao assumir-se como o novo presidente da comissão executiva (CEO) da maior cimenteira nacional, em ruptura contra o maior accionista, encabeçado por Pedro Maria Teixeira Duarte (TD). A decisão foi tomada no conselho de administração que teve lugar ontem, com uma maioria de oito contra seis - votos favoráveis dos administradores indicados pela Investifino, Lafarge e Bipadosa e os votos contrários dos administradores mais próximos da TD e da Caixa Geral de Depósitos (CGD). O anterior CEO da Cimpor, Jorge Salavessa Moura, abandona o cargo e a Comissão Executiva, retornando ao posto de vogal da administração, de onde tinha saído na sequência da assembleia geral da Cimpor, de 13 de Maio, em substituição de Pedro Maria Teixeira Duarte. Esta é uma tentativa de criação de um novo núcleo duro de accionistas que dê estabilidade à Cimpor, colocando à margem das decisões os responsáveis da construtora, que controla mais de 22% do respectivo capital.

Cimpor prepara-se para rejeitar preço da OPA. 04/01/10 00:06. Pedido de registo da operação em plena quadra festiva causou algum mal-estar na cimenteira. A comissão-executiva da Cimpor deverá recomendar esta semana à administração da cimenteira a rejeição do preço da OPA lançada pela CSN, de 5,75 euros por acção. No entanto, o órgão executivo deverá evitar rotular a oferta brasileira como hostil, apurou o Diário Económico. Segundo as fontes contactadas pelo Diário Económico, neste momento a gestão executiva da Cimpor considera que a actual oferta da CSN não reflecte o justo valor dos activos da cimenteira. Uma posição que, de resto, vai ao encontro da avaliação do mercado, como comprova o facto de na última sessão, a cimenteira ter fechado nos 6,43 euros, 11,8% acima da OPA. Por outro lado, se não rotular a oferta brasileira como hostil, a comissão-executiva liderada por Ricardo Bayão Horta dará a entender que está aberta a um entendimento, sendo que o preço será um dos factores a ter conta, mas não o único. Questões como a manutenção do centro de decisão em Portugal e a salvaguarda dos activos internacionais do grupo também serão cruciais. Estes e outros factores serão tidos em conta pelos accionistas da Cimpor, a quem cabe a decisão final (em especial a Teixeira Duarte, Lafarge, Manuel Fino, Caixa e o Fundo de Pensões do BCP), sendo certo que a actual comissão executiva não reflecte o equilíbrio de forças na estrutura accionista. Por exemplo, a Lafarge (que tem 17%) - não está representada neste órgão. Ao mesmo tempo, a também brasileira Camargo Corrêa continua igualmente na corrida, estando neste momento a ultimar uma alternativa à proposta da CSN (que não será uma OPA concorrente). Por sua vez, a CSN apenas deverá pronunciar-se sobre uma eventual melhoria da sua oferta depois de a Cimpor assumir uma posição formal e de a Camargo mostrar o seu ‘jogo'. ‘Timing' dos brasileiros causa mal-estar na Cimpor. Nos termos da lei, a Cimpor terá até ao dia 7 (quinta-feira) para assumir uma posição formal sobre a oferta da CSN, uma vez que os brasileiros entregaram o pedido de registo da OPA na passada quarta-feira. Um facto que causou algum mal estar na gestão da cimenteira e entre os accionistas , uma vez que obriga a tomar uma decisão formal em plena quadra festiva. A gestão da Cimpor esperava que a CSN deixasse esgotar o prazo legal para o pedido de registo, que terminaria a 7 de Janeiro.

Três dias de chuvas intensas na região do Rio de Janeiro levam autoridades a declarar estado de calamidade pública no arquipélago do turismo paradisíaco. As comemorações de Ano Novo foram marcadas pela maior tragédia da história dos réveillons no estado do Rio de Janeiro. As chuvas que castigaram o estado nas últimas horas de 2009 provocaram deslizamentos de terra que resultaram - até o fecho desta edição - em 63 mortos. Ao todo, 42 pessoas morreram só no município de Angra dos Reis, zona balnear a 157 quilómetros da cidade do Rio, que ao longo de todo o ano recebe turistas de elevado poder de compra. Até o início da tarde de ontem, tinham sido resgatados 28 corpos de uma pousada soterrada por um deslizamento de encosta na Praia de Bananal, na Ilha Grande.

PSI 20 entre os maiores vencedores na Europa. 31/12/09 13:25. A bolsa portuguesa brindou os investidores com ganhos de 33,5% em 2009. Foi o segundo melhor desempenho na Europa. Na última sessão do ano, oPSI 20perdeu 0,43% para 8.463,85 pontos, arrastado sobretudo pelos títulos da Portugal Telecom e da EDP. Mesmo assim, o saldo em 2009 foi bastante positivo, com o índice de referência a valorizar-se em 33,47%. Para encontrar um desempenho melhor é preciso recuar a 1997. A bolsa portuguesa teve ainda a segunda melhor prestação anual entre os mercados accionistas europeus. O índice holandês AEX foi o que mais subiu (36,34%) este ano. Com ganhos menores, o espanhol Ibex 35 e o alemão Dax apreciaram 29,84% e 23,85%, respectivamente. Apesar dos fortes ganhos conquistados em 2009, a partir de Março, a praça nacional ainda está longe de anular o tombo de 51% sofrido no passado. Grupo Sonae lidera ganhos no índice de referência. A cotada do PSI 20 que mais brilhou em 2009 foi a Sonae. A empresa dirigida por Paulo Azevedo avançou 99,08%, o melhor ano de sempre em bolsa. Um comportamento que contrastou com a performance de 2008. Nesse ano, a Sonae afundou mais de 75%, a maior perda bolsista da sua história. Em segundo lugar aparece a Sonaecom (92,24%), num ano marcado por várias notícias sobre uma eventual fusão entre dona da Optimus e a Zon. O papel despediu-se de 2009 com ganhos de 0,63%. Cimpor avança quase 85% puxada pela OPA. A OPA lançada pela brasileira CSN sobre a Cimpor acabou por colocar a cimenteira no 'top 5' das maiores subidas anuais do índice de referência. As acções da empresa liderada por Bayão Horta escalaram 84,74% em 2009. A Cimpor fechou a sessão de hoje e perder 0,02%, depois de ontem o Económico ter noticiado que a CSN comunicou à empresa portuguesa e à CMVM as condições finais da OPA. A cimenteira nacional tem até à próxima quarta-feira para se pronunciar sobre a oferta brasileira. BCP é a cotada do PSI 20 que menos sobe. No fundo da tabela aparece o BCP, com uma subida anual de apenas 3,68%. Os ganhos de quase 5% alcançados esta semana evitaram que o banco comandado por Carlos Santos Ferreira terminasse o ano em terreno negativo. Hoje o BCP deslizou 0,35%. A Delphi, em Ponte de Sor, no distrito de Portalegre, encerra portas oficialmente esta quinta-feira, permanecendo em funções apenas três a quatro dos 300 trabalhadores, para «guardar» o património daquela unidade fabril. Os despedimentos foram anunciados há já alguns meses. A Delphi, que produzia componentes para vários modelos de veículos automóveis, existe em Ponte de Sor há 29 anos e era considerada a maior unidade fabril do distrito de Portalegre, empregando 2,5% da população do concelho. De acordo com fonte da empresa, na altura em que foi formalizado o anúncio do encerramento da unidade alentejana, o fecho da Delphi de Ponte Sor deveu-se ao facto dos produtos fabricados naquela unidade terem deixado de ser estratégicos.

Não há explicação para o aparecimento de milhares de polvos na costa de Gaia. Nem para o pé humano ali encontrado. As equipas de Protecção Civil da Câmara Municipal de Gaia e a Polícia Marítima foram alertadas ontem de manhã para o aparecimento de milhares de polvos mortos que deram à costa numa extensão de cinco quilómetros, entre as freguesias de Canidelo e Valadares. Quando procediam à recolha dos cerca de quinhentos quilos de moluscos, as autoridades descobriram um pé humano, ainda dentro de uma bota. Para já ninguém tem explicação para estas estranhas ocorrências. Quanto aos polvos está afastada a hipótese de poluição ou de descarga ilegal de peixe congelado. O vereador da Protecção Civil da Câmara de Gaia adianta que "alguns polvos foram abertos e tinham no seu interior alimentação consumida nas últimas 24 horas". "E se fosse poluição seriam afectadas mais depressa outras espécies como a dourada ou o robalo, pois o polvo é mais resistente", sublinha Nuno Fontemanha. Em comunicado enviado às redacções, a capitania do Porto do Douro anunciou que "por se desconhecer até ao momento a causa da morte das diversas espécies, aconselha-se toda a população a não usar as referidas espécies para consumo humano". Informação reiterada pelo vereador da Câmara de Gaia, que diz ter tido conhecimento que "algumas pessoas levaram sacos de polvos para casa". Alguns exemplares serão entretanto enviados para o Laboratório Nacional de Investigação Veterinária, para procurar apurar as causas da morte dos polvos. Já quanto ao pé humano, Nuno Fontemanha adiantou ao DN que "a Polícia Marítima tem registo de alguns desaparecimentos de pessoas junto à costa, mas apenas na zona de Viana do Castelo". A Polícia Judiciária foi entretanto chamada ao local para efectuar a recolha e proceder às necessárias investigações.

Degas artwork stolen from museum. An artwork by Impressionist artist Edgar Degas has been stolen from a Marseilles museum, police have said. Les Choristes (The Chorus) was missing when staff at the Catini Museum opened the premises on Thursday morning. There were no signs of a break-in, said Jacques Dallest, the French city's public prosecutor. Local police originally said that its value was £26m, but France's national museum service subsequently put its worth at £710,000. The item was on loan from the Musee D'Orsay, in Paris, as part of an exhibition of Degas' work which was due to come an end on 3 January and travel to Italy and Canada. The museum will now remain closed while the theft is being investigated, including the examination of CCTV footage from security cameras. Mr Dallest also told Agence France Presse that police are looking into the possibility that the artwork was stolen by an intruder, a visitor or a museum insider. Les Choristes, which dates from around 1876, is a colourful pastel work which depicts a male line of singers in the midst of performance. Earlier this year, Degas' bronze sculpture of a young female dancer sold at auction in London for £13.3m.

Minister D.Zorigt suggested that the Mongolian companies would be privileged in selecting product and service suppliers and sub-contractors of the project and made request to intensify the activities of training Mongolians citizens in mining with support of Rio Tinto. Tom Albanese commented that Rio Tinto pays full attention on realizing investment agreement provisions, while pursuing actions that are in harmony with the interest of both sides and agreed to intensify the activities raised by the Mongolian counterpart.
